What is a private placement of bonds?

A private placement is a bond issue offered to a limited group of investors, mostly institutions, instead of the general public. Most corporate bonds in India are raised this way.

Under the Companies Act, a private placement can be offered to at most 200 people in a financial year, not counting qualified institutional buyers. Listed private placements file a Key Information Document with the exchange, and larger issues are bid on the stock exchanges' Electronic Book Provider platforms.

After listing, privately placed bonds can be bought by anyone through a broker or an online bond platform, and their disclosure documents stay on the BSE or NSE website. Each issuer page here lists the issuer's placements with links to those documents.
